Terms and Conditions

1. Acceptance of Terms

By accessing, registering for an account, or purchasing from Amped Direct, the Customer agrees to be legally bound by these Terms and Conditions.

2. Business Relationship

Business customers approved for a Net 30 account or other credit terms may receive invoicing privileges, extended payment terms, and account-based pricing or discounts, subject to Amped Direct’s Net 30 Terms & Credit Policy and Pricing & Payment Terms.

Retail customers are required to complete payment at the time of purchase unless otherwise approved in writing.

Amped Direct reserves the right to determine customer eligibility for business account status, pricing tiers, and credit terms at its sole discretion.

3. Orders and Acceptance

All orders are subject to acceptance by Amped Direct. Amped Direct reserves the right to refuse, cancel, or modify any order at its sole discretion.

4. Product Availability

Product availability, specifications, and pricing are subject to change without notice due to supplier updates, inventory conditions, or market factors.

5. Pricing and Payment

All pricing, payment obligations, and credit arrangements are governed by Amped Direct’s Pricing & Payment Terms and Net 30 Credit Policy, where applicable.

6. Shipping and Delivery

Shipping, delivery timelines, and freight responsibilities are governed by Amped Direct’s Shipping, Returns & Warranty Policy.

7. Returns and Warranty

All returns, exchanges, and warranty claims must comply with Amped Direct’s Shipping, Returns & Warranty Policy and applicable manufacturer warranties.

8. Limitation of Liability

To the fullest extent permitted by law, Amped Direct shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, project delays, or business interruption.

9. Indemnification

The Customer agrees to indemnify and hold harmless Amped Direct from any claims, damages, or expenses arising from misuse of products or breach of these Terms.

10. Force Majeure

Amped Direct shall not be liable for delays or failures due to events beyond its reasonable control, including supplier delays, transportation disruptions, or natural events.

11. Account Suspension

Amped Direct reserves the right to suspend or terminate accounts for non-payment, misuse, or breach of any policy or agreement.

12. Governing Law

These Terms shall be governed by the laws of the Province of Ontario and applicable Canadian law.

13. Modifications

Amped Direct reserves the right to update or modify these Terms at any time. Continued use of services constitutes acceptance of any changes.

14. Entire Agreement

These Terms, together with all referenced policies, constitute the entire agreement between the Customer and Amped Direct.
